Software Agreement

This Software Agreement defines operational and commercial conditions for using MichiFinanzas software in production and enterprise contexts.

1. Scope

MichiFinanzas software includes frontend applications, backend APIs, integrations, automation workflows, and related supporting documentation.

2. Responsibilities

Provider responsibilities:

  • Operate and maintain the documented platform components.
  • Apply reasonable security controls and incident response processes.
  • Publish release and compatibility updates when material changes occur.

Customer responsibilities:

  • Configure identity, access, and environment controls correctly.
  • Maintain compliant data handling practices.
  • Review legal and regulatory obligations for the deployment region.

3. Security and compliance

The parties must follow agreed security baselines for encryption, access control, logging, backup, and incident management.

Regulatory obligations remain customer-specific unless explicitly covered in a signed commercial addendum.

4. Support and service levels

Support channels, response windows, escalation paths, and SLA commitments are defined in the applicable plan or signed order form.

5. Data ownership and portability

Customer data remains customer-owned.

Export and deletion capabilities are provided according to product capabilities and signed commercial commitments.

6. Intellectual property

Each party retains ownership of its pre-existing intellectual property.

No transfer of ownership is implied except where expressly stated in writing.

7. Limitation of liability

Liability is limited as defined in the governing commercial agreement and applicable law.

8. Precedence

If this Software Agreement conflicts with a signed Master Services Agreement, Subscription Agreement, or Order Form, the signed commercial document prevails.
